The Organizational Hierarchy: From Promoters to KMPs
A company’s success depends on its management structure. At the top sits the Chairman, who leads the Board of Directors. This board is a mix of:

Whole-Time Directors (WTD): Involved in day-to-day management and receiving a regular salary (remuneration).

Independent Directors: Outside experts who provide unbiased guidance during board meetings, receiving sitting fees rather than a salary.

Key Managerial Personnel (KMP): This elite group—including the CEO, CFO, and the Company Secretary—acts as the vital bridge between the board and the functional departments.
The Guardrail: Doctrine of Ultra Vires
With power comes the risk of abuse. The Latin term Ultra Vires means “Beyond the Power.” In corporate law, this doctrine ensures that a company stays within its defined boundaries.
The Memorandum of Association (MOA) serves as the company’s constitution. Its most critical section, the Object Clause, defines what the company is legally allowed to do. If a manufacturing company suddenly begins lending money like a bank without the proper authority, that act is “Ultra Vires.”
Why is this critical?
- Void Acts: Any act done outside the MOA is considered invalid (void).
- No Ratification: Even if every single shareholder votes to approve an Ultra Vires act, it cannot be corrected or made legal.
- Protection: This principle protects investors by ensuring their money is only used for the business purposes they originally agreed to.
Understanding these hierarchies and legal boundaries is the first step toward becoming an effective corporate professional.
